TERMS OF USE AND CONDITIONS AGREEMENT

(Electronic Sales Contract)

These Terms and Conditions constitute a legally binding agreement ("Electronic Contract") issued by the Website Management ("First Party") and apply to any natural or legal person who creates an account or purchases any recorded training course through the website ("User", "Purchaser", or "Second Party").

Clicking the "I Agree" button, creating an account, or completing the payment for a course constitutes explicit, conclusive, and unconditional acceptance of all terms of this Agreement.

1. Contract Terms and Legal Capacity

1.1 Parties Identification and Contract Nature

This document is considered a fully fulfilled electronic contract in terms of legal conditions and elements, governing the relationship between the Website Management and the User, and superseding any prior verbal or written understandings.

1.2 Legal Capacity

The User warrants that they have reached the legal age required to enter into binding contracts (18 years of age in general), or that they are using the website under the supervision and approval of a legal guardian who assumes full responsibility for such use.

1.3 Amendments to Terms

The Website Management reserves the right to update or amend these terms at any time. The Website Management undertakes to notify the User immediately upon issuing such updates, provided that the amendments become effective immediately upon being posted on the website. The User's continued use of the platform after updates constitutes explicit approval of the amended terms.

2. Account Management and Security

2.1 Data Accuracy

The User undertakes to provide accurate and correct data (name, phone number, email address, payment information) upon registration, and commits to updating it periodically whenever requested by the Website.

2.2 Account Security

The User is exclusively responsible for maintaining the confidentiality of their login credentials and bears all legal and financial consequences for all activities occurring through their account.

2.3 Individual Account Usage

The account is strictly personal and intended solely for the registered User. Sharing login credentials or allowing any other party to access the account under any circumstances is strictly prohibited.

3. Intellectual Property Rights and Usage Licenses

3.1 Exclusive Ownership

All videos, files, audio materials, texts, logos, and designs contained within the courses are the exclusive intellectual property of the Website and the instructors, protected under local and international intellectual property laws.

3.2 Granted License

The Website grants the Purchaser a personal, limited, non-exclusive, non-assignable, and non-transferable license, restricted solely to viewing the content for personal learning purposes.

3.3 Prohibitions and Violations

Penalty: Any breach of these rights subjects the offender to immediate account termination without any refund, while reserving the Website Management’s right to legal prosecution and claiming compensation for damages.

4. Pricing and Payment Policy

4.1 Prices and Currencies

Course prices are displayed in the currency specified on the checkout page. The Website Management reserves the right to change prices or launch discounts and promotional offers at any time without prior notice.

4.2 Payment Processing

Financial transactions are conducted through approved and encrypted electronic payment gateways. The Website does not store users' banking card details.

4.3 Taxes and Fees

Declared prices may or may not include local taxes (such as Value Added Tax - VAT) or transfer fees; the final total will be clarified on the checkout page prior to completing the payment.

5. Access Rights and Service Availability

5.1 Content Access Period

The Website Management grants the Purchaser access to the purchased course (either for the lifetime of the Website or for a specific time period explicitly stated on the course details page).

5.2 Content Update and Modification

The Website Management retains the right to modify content, update videos, or add new files to ensure the ongoing quality of the customer experience.

5.3 Disruptions and Maintenance

The Website strives to ensure uninterrupted service operations; however, it does not guarantee complete freedom from emergency technical outages or planned periodic maintenance, and assumes no liability for any temporary downtime beyond its control.

6. Refund and Purchase Cancellation Policy

6.1 Refund Window

The Purchaser has the right to submit a refund request within a maximum period of [24 hours] from the date of purchase.

6.2 Refund Conditions

To accept a refund request, the Purchaser must not have watched more than [15%] of the total video course content, and must not have violated any of the prohibitions and violations specified in Clause (3).

6.3 Refund Exceptions and Amounts

Courses purchased during exceptional promotional offers are excluded (if specified in the offer terms). Upon approval of a refund, the amounts will be returned to the original payment method after deducting the electronic payment gateway processing fees.

7. Code of Conduct within the Platform

7.1 Subscriber Communities and Discussions

The User commits to maintaining decency and general ethics when participating in the comments sections or course forums, demonstrating full respect for the instructor and peers.

7.2 Prohibition of Abuse and Spam

Posting any advertisements, external links, misleading content, verbal abuse, or fraudulent attempts across interaction sections is strictly prohibited.

7.3 Disciplinary Action

The Website has the right to block or suspend any account that repeatedly or severely violates the rules of conduct, without any obligation to refund the value of purchased courses.

8. Disclaimer and Limitation of Financial Liability

8.1 Educational Value vs. Results

Offered courses and services are provided for educational and instructional purposes only. The Website does not guarantee the achievement of any specific financial, career, or investment results based on consuming the content.

8.2 Technical Requirements

The User is responsible for providing suitable devices and sufficient internet connection speeds to watch high-quality videos.

8.3 Limitation of Financial Liability

All parties agree that the maximum financial liability the Website may bear toward the User in any dispute shall not, under any circumstances, exceed the actual amount paid by the User for the specific course subject to the dispute.

9. Account and Service Termination

9.1 Termination by the User

The User has the right to stop using the Website or request the deletion of their account at any time (noting that account deletion forfeits their right to access purchased courses).

9.2 Termination by the Website

The Website has the right to terminate the User's account immediately and block access without prior notice upon proof of any violation of intellectual property terms, fraudulent payment operations, or improper conduct toward the platform.

10. Governing Law and Dispute Resolution

10.1 Applicable Law

This Contract and all its clauses shall be governed by and construed in accordance with the laws and regulations in force in the Arab Republic of Egypt.

10.2 Dispute Settlement

It is agreed that any conflict or dispute arising out of this Contract shall first be resolved amicably; if unresolved within 30 days, it shall be referred to the competent courts in the Cairo and Giza Governorates.
